This Agreement is entered into between The Results Group, Ltd. (“Provider”) and the entity identifying itself during the registration process (“Subscriber”).

1. Grant of License

Provider grants Subscriber a non-exclusive, non-transferable, time-limited right to access The Leadership Academy online training platform and/or Trail Notes articles (the “Service”) solely for internal professional development.

2. Subscription Terms

• Access: Access is permitted only for the number of authorized users specified at the time of purchase.
• The Group Leader: Subscribers to The Leadership Academy shall designate a Group Leader to act as the primary point of contact and overseer of the training implementation within their organization.
• Restrictions: Subscriber shall not sublicense, sell, or mirror any content without express written consent.

3. Fees and Payment

Subscriber agrees to prepay all applicable fees as outlined in the selected subscription plan. All fees are non-refundable and must be paid in advance of the service period.

4. Intellectual Property

All course materials, videos, frameworks, and digital assets remain the exclusive property of The Results Group, Ltd. / Stephen L Kent. No transfer of ownership occurs under this Agreement.

5. Term and Termination

• Term: This Agreement remains in effect for the duration of the purchased subscription period.
• Termination: Provider may suspend access if fees are 30 days past due or if Subscriber breaches the terms of use.

6. Limitation of Liability

To the maximum extent permitted by law, Provider’s total liability shall not exceed the amount paid by Subscriber for the Service during the 12 months preceding the claim.

7. Governing Law

This Agreement is governed by the laws of Arizona, United States of America.
