Please read the following terms and conditions carefully before submitting your request for matchmaking and referral services through The Guidant Network.
1. Scope of Services & Matchmaking Role
- 1.1 Purpose. The Network operates a curated referral and matchmaking service designed to connect organizations seeking specialized expertise with qualified independent professionals and advisory providers (each, a “Provider”).
- 1.2 Limited Role of the Network. The Client acknowledges and agrees that the Network’s primary responsibility is to introduce the Client to potential Providers based on the Client’s stated challenges and operational requirements.
- 1.3 The Results Group, Ltd. as Provider. Notwithstanding anything to the contrary herein, the Client acknowledges and agrees that, from time to time, The Results Group, Ltd. itself may possess the most qualified expertise to address the Client’s specific challenges. In such instances, The Results Group, Ltd. may directly propose its own consulting, training, or leadership services to the Client as a designated Provider under a separate agreement.
2. Fees, Payment Terms, and Non-Obligation
- 2.1 Matchmaking & Referral Fee. In consideration for identifying, vetting, and facilitating the connection with a suitable Provider (which may include The Results Group, Ltd.), the Client agrees to pay the Network a non-refundable matchmaking fee of $250.00.
- 2.2 Payment Due. All fees owed to the Network are due and payable upon submission of this agreement, prior to or concurrently with the formal introduction or initial engagement setup, unless otherwise agreed in writing.
- 2.3 No Obligation to Contract; Fee Earned upon Referral. The Client is under no obligation to enter into a service contract with any Provider referred by the Network. However, the Network’s matchmaking and referral fee is fully earned upon the delivery of the referral or introduction, regardless of whether the Client ultimately elects to engage, contract with, or utilize the services of the referred Provider.
3. Independent Provider Relationship & Disclaimers
- 3.1 Independent Contractor Status of Providers. All third-party Providers matched through the Network operate as independent entities and are not employees, agents, representatives, or partners of the Network.
- 3.2 Direct Contractual Relationship. Any separate professional services agreement, statement of work, pricing structure, deliverables schedule, or engagement terms negotiated subsequent to this introduction are strictly between the Client and the selected Provider. The Network is not a party to any agreement formed between the Client and a third-party Provider.
- 3.3 No Warranties or Guarantees. The Network makes no representations, warranties, or guarantees—express or implied—regarding the quality, accuracy, timeliness, fitness, or results of any services rendered by any third-party Provider. The Client assumes full responsibility for evaluating, selecting, and contracting with any Provider.
4. Limitation of Liability and Indemnification
- 4.1 Exclusion of Liability. To the maximum extent permitted by applicable law, the Network, its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the services performed by any third-party Provider, including but not limited to professional errors, omissions, breaches of contract, or tortious conduct.
- 4.2 Client Indemnity. The Client agrees to indemnify, defend, and hold harmless the Network from and against any and all claims, demands, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or resulting from the Client’s engagement with, or use of services provided by, any third-party Provider introduced through the Network.
5. Governing Law and Jurisdiction
- 5.1 Governing Law. This Agreement, and all claims or disputes arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.
- 5.2 Forum Selection. Any legal action, suit, or proceeding arising out of or relating to this Agreement or the matchmaking services provided hereunder shall be instituted exclusively in the state or federal courts located within Arizona, and each party irrevocably submits to the exclusive jurisdiction of such courts.
6. Miscellaneous
- 6.1 Entire Agreement. This Agreement constitutes the entire understanding between the Network and the Client regarding the matchmaking and referral services and supersedes all prior discussions, negotiations, or drafts.
- 6.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
